Terms of Service

These terms cover your use of MahiLedger. They are written to be read — plain sentences, no defined-term maze — and every factual claim in them describes what the software actually does today.
MahiLedger is a young product and these terms have not been reviewed by a lawyer in your jurisdiction. They set out our honest understanding of the arrangement. If something here matters commercially to you, raise it with us at legal@mahiledger.com before you rely on it.
1. Who this agreement is with
MahiLedger is provided by bConsulted LLC, a Virginia limited liability company ("we", "us"). "You" means the person or organization using the service. Where you use MahiLedger on behalf of a company, you confirm you are authorized to accept these terms for it, and "you" means that company.
You accept these terms when you open an account or use the service. If you don't accept them, don't do either.
2. What MahiLedger is — and what it is not
MahiLedger is double-entry accounting software. It records what you tell it to record and reports on what it holds. It is a tool, and it is only as accurate as the entries you and your team make in it.
Being direct about the limits, because they matter more here than in most software:
- We are not your accountant. Nothing the software produces is accounting, tax, audit or legal advice, and no part of it is a substitute for a qualified professional.
- We do not file anything on your behalf. MahiLedger does not submit returns, remit tax, or transmit anything to a tax authority or regulator. Meeting your filing obligations and their deadlines is yours.
- We do not audit your books and produce no assurance or opinion on them.
- We do not move money. MahiLedger records payments; it does not make them, and it holds no funds.
- Some areas of the product are incomplete. Where a screen is a preview or carries example data rather than yours, it is not a statement that the feature works. Don't rely on any figure you can't trace to your own entries.
3. Your account
MahiLedger is for business use by people aged 18 or over. It is not intended for personal or household accounts, and not for children.
You sign in with Google, with an email and password, or with a one-time email link. Passwords are held by Firebase Authentication, not by this application — we never see or store yours. Keeping your sign-in secure, and the devices it's on, is your responsibility, and you're responsible for what the people you invite do in your workspace.
If you sign up with a password, we email you a link to confirm the address. Until you click it you can sign in, but you can't create a workspace — so nobody can build books on an address they don't control.
4. Your data belongs to you
Your books are yours. You grant us only the permission we need to run the service for you: to store, process, transmit and display your data so the product works, and to back it up. We don't use your books to train models, sell them, or share them with anyone except the service providers listed in the Privacy Notice, and only so they can do their part of the job.
5. Data about other people that you put in
An accounting system fills up with information about people who never signed up for it — your customers, your suppliers, names on bank statement lines, the staff you invite. Between us, you decide what goes in and why; we hold it and act on your instructions.
So you're responsible for having the right to put that information into MahiLedger and for telling those people whatever the law where you operate requires you to tell them. We're responsible for handling it the way the Privacy Notice says we do, and for not doing anything else with it.
6. Workspaces, your team, and accounting firms
Each company is a separate workspace, and data is scoped to it on every read and every write. Someone can see a workspace's books for one of exactly two reasons:
- You invited them to it, at the level of access you chose — owner, team member, or accountant.
- You accepted an engagement from an accounting firm, which lets the staff that firm assigns work inside your books.
Both are reversible by you. Remove the membership, or end the engagement, and the access ends with it — including for every staff member the firm had assigned. The record of what was done while they had access stays, subject to section 10.
If you are an accounting firm: you're responsible for your own staff's access to your clients' books, and your engagement with a client is between you and them. We provide the mechanism, not the relationship.
7. Connected tools and the API
MahiLedger exposes an interface that lets other software — including AI assistants and agents — read and write your ledger using your credentials. This is powerful and it is genuinely yours to control: anything you authorize acts with your access, and what it reads or changes is your responsibility, not ours. Only connect tools you trust, and revoke them when you're done.
8. Demo workspaces
A demo workspace is a private copy of an example company, provided so you can try the product properly. It is temporary, provided as-is, and deleted seven days after it is created along with everything in it. Don't keep real books in one, and don't put anything in one you'd mind losing.
9. Plans and payment
Paid plans are billed in advance, in US dollars, on the cycle shown at checkout. Payment is handled by Stripe: card details go to Stripe, never to us, and we hold only the plan you're on, your subscription's status, and Stripe's identifiers for it.
- Prices are in US dollars. We don't currently collect sales tax, VAT or GST — the price you see at checkout is the price you pay. If that changes we'll tell you before it does. Any tax you owe on your own account of the purchase remains yours to handle.
- You can cancel at any time. Cancellation takes effect at the end of the period you've paid for, and we don't refund the remainder of a period unless the law requires it.
- If we change prices we'll tell you at least 30 days before it affects you, and you can cancel instead.
- If a payment fails and stays unpaid, we may limit or suspend the workspace. We'll tell you first, and your data isn't deleted for non-payment.
- The free plans are free. We may change what they include, with notice.
10. Records and how long we keep them
Your ledger — accounts, entries, invoices, bills, payments — is kept for as long as your workspace exists. We don't age it out.
The audit trail is the one place we delete anything on a schedule, and the window is not something your plan sets. It is kept for at least as long as the law where your business is registered requires business records to be kept. Your plan can extend that window; it cannot shorten it. Where we don't know your country, we apply the longest period we know of rather than the shortest.
What ages out is narrower than "the audit trail": change history for contacts, budgets and imported bank lines. Attribution for anything posted to the ledger is never deleted — who raised an invoice, who posted an entry, who reconciled an account. MahiLedger records that in the audit trail and nowhere else, which is exactly why it is not something we age out.
Keeping the accounting records your own law requires, for as long as it requires, is your responsibility. Don't treat MahiLedger as your only copy.
11. Availability
We work to keep MahiLedger available and quick, but we don't offer a service-level agreement and we don't promise uninterrupted service. We may take it down for maintenance, and we'll avoid surprising you where we reasonably can.
12. Acceptable use
Don't use MahiLedger to:
- break the law, or help someone else do it — including falsifying accounts or records;
- get at data belonging to a workspace you have no access to;
- probe, scrape, overload or work around the service's limits and protections; or
- upload malware, or content you have no right to upload.
We may suspend an account that's doing any of these, and we'll say why.
13. Ending it
You can stop using MahiLedger whenever you like, and cancel a paid plan from the billing page. We may end this agreement if you materially break these terms and don't put it right within 30 days of us asking, or immediately where the law requires it.
Get your data out before you go. You can export your general ledger, trial balance, receivables and payables agings, and audit log as CSV at any time. There is currently no one-click "download everything" archive and no self-service account deletion — both are handled by emailing privacy@mahiledger.com, and we'll action a deletion request within 30 days. Until you ask, we keep your workspace as it is.
14. Warranties and liability
MahiLedger is provided as is. To the extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement, and we don't warrant that the service will be error-free or that the figures it produces are correct — they are produced from what you put in.
To the extent the law allows, neither of us is liable to the other for indirect or consequential loss, or for lost profits, revenue, goodwill or data. Our total liability arising out of or relating to MahiLedger is limited to the fees you paid us in the 12 months before the claim arose.
Nothing here limits liability that can't legally be limited — including for fraud or fraudulent misrepresentation. Some jurisdictions don't allow some of these exclusions; where that's true of yours, they don't apply to you.
15. Indemnity
You'll cover us against claims brought by someone else arising from the data you put into MahiLedger or the way you used the service, where the claim results from your breach of these terms. We'll tell you promptly about any such claim and let you run the defense.
16. Changes to these terms
We may update these terms. If a change materially affects you, we'll email the address on your account at least 30 days beforehand. Carrying on using MahiLedger after a change takes effect means you accept it; if you'd rather not, cancel.
17. Governing law and disputes
These terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to its conflict-of-laws rules, and the state and federal courts sitting in Virginia have exclusive jurisdiction. If you're required by your own local consumer law to have your rights determined elsewhere, that law wins.
Before filing anything, email us. Most things are quicker to fix than to litigate.
18. The rest
- Notices. We'll email the address on your account; you email legal@mahiledger.com. Notice is given when sent.
- Whole agreement. These terms and the Privacy Notice are the whole agreement between us about MahiLedger.
- Severability. If a clause is unenforceable, the rest stands.
- No waiver. Not enforcing something once doesn't give it up.
- Assignment. You may not transfer this agreement without our consent; we may transfer it as part of a sale of the business, on notice to you.
